U.S. company formation · Form, acquire, operate

After forming a U.S. company, the real decision is how to enter and how to operate

A U.S. company can be formed from scratch, acquired, or joined under a clear ownership and control structure. Which fits is first a business decision, not a question of which produces paperwork fastest. TIHU provides U.S. company formation, acquisition and operating services and works alongside counsel on immigration judgments.

Form from scratch: most design freedom

  • · Can be designed around the parent's products, customers and supply chain.
  • · Premises, team, revenue and management layers must be built from zero.
  • · Main risk: slower progress and the principal stuck in day-to-day execution.

Acquire: history, and inherited liabilities

  • · An existing business may bring customers, staff, licenses and cash flow, helping a managerial role form sooner.
  • · Before acquiring, review finance, tax, employment, litigation, debt, contracts and key-person dependence.
  • · Statements that cannot be verified through bank, tax and third-party records are no operating foundation.

Join an existing business: control must be clear

  • · Minority stakes or joint operation may cost less but may not create a qualifying relationship or real authority.
  • · Shareholder agreements, voting, board seats, management and profit allocation must satisfy both business and cross-border analysis.
  • · Operators can help execute, but key decisions, use of funds and compliance responsibility must be real.

U.S. company formation FAQ

Once I register a U.S. company, can I apply for business immigration?
Registration alone is not enough. The key clock is when the company began regularly doing business, not the incorporation date; a company registered two years ago that began delivering services last year may still be a new office.
Does EB-1C have a minimum investment or headcount?
There is no statutory investment minimum, fixed revenue threshold or 'ten employees' rule, but a real budget, a supported position and ability to pay must still be shown.
Is profitability enough?
Profit alone does not satisfy managerial-duty requirements, and losses do not automatically cause denial; the questions are continued business and the ongoing need for the role.
What does TIHU do here?
Whether forming, acquiring or partnering, TIHU focuses on real transactions, control, organization, cash flow and continuity of evidence; counsel independently assesses immigration eligibility. Parties, deliverables and fees are agreed in writing before the next stage.
